These conditions of sale concluded on the one hand by the simplified stock corporation (SAS) RODIER, with a capital of 1, 000, 000 Euro, with its head office in PARIS 3ème, 47 rue Réaumur and administrative office in PARIS 2ème, 20 rue Bachaumont, registered with the Paris Trade and Companies Register under number B 453 162 398 hereinafter referred to as 

1 - SUBJECT

These conditions of sale aim to define the contractual relations between RODIER and the CUSTOMER and the conditions applicable to any purchase made on the RODIER commercial website www.rodier.fr.

The purchase of a product on the present website implies the unconditional acceptance by the CUSTOMER of the present conditions of sale. Without the prior and written consent of RODIER, no special condition may prevail over those stated herein. Any condition of a contrary nature proposed by the CUSTOMER will remain non-binding to RODIER without the prior and written consent of RODIER. Any waiver of these present general conditions of sale may not be invoked against RODIER.

RODIER reserves the right to modify the conditions of sales at any time. In such cases, the applicable conditions will be those in force at the time of purchase by the CUSTOMER.

For each purchase on the www.rodier.fr site, the CUSTOMER will be asked to confirm their acceptance of the General Conditions of Sale in force at the time of their purchasing order.

2 - PRODUCTS

The products offered are those available on the www.rodier.fr website.

These products are offered only as long as stocks last. Each product is accompanied by a detailed description on a product sheet. The photographs are as accurate as possible, but cannot guarantee perfect similarity with the product offered, particularly in regard to colours.

3 - PRICES

The prices displayed on the site are the prices including all taxes in Euro, taking the VAT applicable on the day into account; all changes in rates may have an effect on the product or service prices.

RODIER reserves the right to modify prices at any time, provided, however, that the price displayed on the www.rodier.fr website on the day of the purchase order is the only one applicable to the CUSTOMER. The indicated prices do not include fees for transportation and delivery, which will automatically be displayed upon validation of the order.

The CUSTOMER will receive written confirmation of their order, in accordance with the provisions set under article L121-19 of the Consumer Code, confirming the amount paid and the fees charged.

4 -  GEOGRAPHICAL AREA

The online sales of products presented on the site is reserved for customers living in metropolitan France, in the French overseas departments and territories, in the European Union (28 countries), Great Britain and Switzerland. For security reasons, RODIER will not process any order for which only a mailbox is provided.

5 - ORDERS

The CUSTOMER, who wishes to purchase a product, is obliged to:

1. Fill out the information sheet, in which they will indicate all required details and will obtain login details and a password for connecting to the site for future purchases.

2. Fill out the online order sheet, providing all information regarding the chosen products or services.

3. Validate their order once they have verified their choices.

4. Complete the payment under the provided conditions.

5. Confirm their order and purchase.

Following order confirmation, the present conditions of sale must be accepted, with recognition of having full knowledge of them and the renunciation of one's own terms of purchase or other conditions.

All of the data provided and the registered confirmation will act as proof of the transaction. The confirmation will serve as having signed and accepted the operations performed.

Once authorisation to withdraw from the bank account is received from the CUSTOMER'S bank, RODIER will confirm the registered order by electronic mail sent to the address provided by the CUSTOMER, which will be expressly accepted by the latter.

The order will not be completely validated until this electronic mail has been received, summarising all the information given by the customer, with indication, when necessary, of any possible difficulties or reserves relating to the order (availability of ordered items, delivery period or chosen payment method), as well as the order reference number allocated by RODIER.

6 - WITHDRAWAL CANCELLATION OF YOUR ORDER WITHIN THE FRAMEWORK OF THE 2013 REGULATION OF DISTANCE SELLING CLAUSES (DATA, WITHDRAWAL AND SUPPLEMENTARY FEES)

If you live in the European Union (EU), within the framework of the 2013 regulation of distance selling clauses (data, withdrawal and supplementary fees), you have the right to cancel your order from RODIER, provided that you notify us in writing.

You have the right to cancel your order within 14 days without justifying your reasons.

The period of withdrawal ends 14 days after you (or a third party other than the transporter and designated by you) acquired material possession of the goods ordered.

To exercise your right to withdrawal, notice must be sent to us at the following address Entrepôt RODIER – ZAC les Portes de l'Oise, 1 rue Isaac Newton – Porte 10 - 60230 CHAMBLY or by email at logistique@rodier.fr. You may also use the withdrawal form, although the latter is not obligatory.

We will refund you the total amount of the orders cancelled in the framework of the regulation of distance selling clauses, including the delivery fees. However, we retain the right to reduce the refund amount should there be any damage to the goods returned, if the damage of the latter was caused by having used the goods to an extent more than necessary to ascertain the nature, quality and functioning of the good.

We will process all refunds without undue delay within a period of 14 days after having received the returned goods.

The refund will be made via the same means as used for the initial payment when you ordered the goods, unless you have expressly accepted any other means: no matter the circumstances, no additional fee will be charged from the refund.

If you return the goods before we have withdrawn the payment, we reserve the right to delay the refund until the goods have been received, or until you have sent proof of delivery of the latter, whichever of the two is the earliest. (If we do not receive your cancelled order, we have the right to organise the collection of the goods at your expense).

Cancelled orders must be returned to the following address: Entrepôt RODIER – ZAC les Portes de l'Oise, 1 rue Isaac Newton – Porte 10 - 60230 CHAMBLY. You have a period of 14 days following the notification of your withdrawal of purchase from RODIER to return the goods. The return is validated if you send the latter before the expiration of the period of 14 days.

You will support all costs involved in returning the goods.

You will only be held liable should the goods be degraded as a result of having used the goods to an extent more than necessary to ascertain the nature, quality and functioning of the good.

It should be noted your right to return a product within the regulation of distance selling clauses is valid if and only if you send notice of returning the product in written form within 14 days of having received the order, by mail or post, as aforementioned, in other words, before asking for your RMA number via your RODIER account.

EXCHANGES AND RETURNS

Do you need to return or exchange a product? It could not be simpler. Please notice that you can return/exchange your items only once. Try on your purchases at home: you have a period of 14 days after the delivery date to return or ask to exchange a product. Our collection service from your personal or professional address is free.

The delivery fees are free for all exchanges.

Items must be returned in a new and non-used condition; they must also have the RODIER labels intact and attached. Returns which do not comply with our policy will not be accepted and will be returned to the customer.

Ask for your goods return material authorisation (RMA) number and return an item via our free collection service within a 30-day period, to be counted from the receipt or your order.

To return a purchase, follow the steps bellow.

Log in to your account. In the « My orders » section, select the order number containing the items that you wish to return.

Click the « Return/Exchange an item » button and give the reason for this return. If you wish to exchange an item because of size, stipulate the new size that you require.

Send an email to logistique@rodier.fr to request that your package be picked up from your home or from a collection point. RODIER customers will be contacted by our team within 48 hours to organise the collection of the package from their home or from a collection point.

To ensure that your return is covered by our free return policy, send it back from the same country that it was initially delivered to. Orders returned from a different country may be subject to additional taxes and may face delays due to customs.

We prefer returns to be carried out by our own collection service, to protect against theft and accidental damages. However, you may return the goods by using a secure service of your choice; in this case, you may be held liable for any lost or damaged package. Your refund will be made via the same payment method used during the order purchase from your RODIER account.

Please note that refunds may take up to ten working days before appearing on your account, due to variable processing periods of different service providers.

It is the CUSTOMER'S responsibility to retain all proof of return.

Incomplete, damaged, or dirty goods returned by the CUSTOMER will not be refunded. The refund of the invoiced price for the returned goods will be carried out by credit to the CUSTOMER'S bank account no later than 30 days following RODIER'S receipt of the returned goods.  

7 -  PAYMENT

7.1 Methods of Payment

The price is payable upon ordering.

Payments will be carried out by bank card: CREDIT CARD, VISA, MASTERCARD, or by means of an electronic PAYPAL bank account. They will be made via a secure online payment system of Crédit du Nord called Webaffaires, which uses the SSL (Secure Socket Layer) protocol, ensuring that the transmitted data is encrypted by a software and that no third party has access to this data as it transmits across the network.

Payment will only be withdrawn from the CUSTOMER'S account once the available products or services have been sent and will only amount to the total value of the sent products.

RODIER reserves the right to verify any personal data transmitted by the CUSTOMER and to adopt any necessary measures to ensure that the bank account from which the payment is to be withdrawn belongs to the same person as who made the order. RODIER can request the CUSTOMER to provide proof of identity and/or a bank document. Should the CUSTOMER fail to respond to such a request within 2 days, to be counted from the date of the formal request from RODIER, the order concerned will be automatically cancelled, and with no possibility to contest matters thereafter.

At their request, the CUSTOMER will be sent out a VAT invoice.

RODIER does not retain any credit card numbers.

7.2 FIA NET

The data related to your order will be subject to automated data processing, which is the responsibility of FIA-NET S. A. The purpose of this automated data processing is to define a level of analysis for a transaction and to fight against credit card fraud.

FIA-NET S. A. and RODIER are the recipients of data related to your order. The non-transmission of data related to your order prevents the execution and analysis of your transaction.

Any unpaid invoices due to credit card fraud will automatically generate data registration linking your order to said unpaid invoice in a specific payment incident database created and run by FIA-NET S.A. Any false declarations or anomalies may also be registered in such database.

In accordance with the French Data Protection Act of 6 January 1978, you have, at all times, an access right to modify and oppose all personal data by writing, with proof of your identity, to FIA-NET - Service Informatique et Libertés - Traitements n°773061 et n°1080905 -  15 rue du Faubourg Montmartre, 75009 PARIS.

8 - SHIPPING AND DELIVERY - SHIPPING COSTS

8.1. Delivery times

Products are delivered to the indicated delivery address and within the approximate delivery time indicated in the DELIVERY stage of the order process and before its finalisation.

Should the delivery be late, an email will be sent to the CUSTOMER to inform them of a potential consequence on the delivery time that they were indicated.

Should the delivery be more than seven days late, the CUSTOMER will be informed and will have the choice of either continuing with the order and the delayed delivery time, or cancelling it for a full refund.

RODIER will not be held liable for delayed delivery times caused by circumstances beyond their control or strikes.

8.2. Shipping - Shipping costs

The CUSTOMER chooses the shipping mode during the order process.

The total shipping cost, according to the chosen shipping mode, is indicated in the order summary and before its finalisation.

Deliveries are sent to the indicated address in the order form, which can only be within the agreed geographical zone. Should an error have been made in the customer's address, RODIER will not be held liable for its inability to deliver the order.

The products are delivered by RODIER to the address provided by the CUSTOMER, on behalf of the latter. The transport mode is chosen by the CUSTOMER.

The risks and dangers are the responsibility of the CUSTOMER, from the moment that the products leave the RODIER premises. The CUSTOMER must check the condition of the packaging, its content, quality, quantity and the condition of the merchandise. In the event of damage during transportation, complaints should be made to the shipping company within three days, to be counted from the initial delivery date.

9 - GUARANTEE

All products sold by the vendor are covered by the legal guarantee as stipulated in articles L 211-4, L211-5 and L211-12 of the French Consumer Code and articles 1641 and 1645 of the French Civil Code.

In the case of non-compliance of a product sold, it can be returned to RODIER, who will accept it, exchange or refund it, following the conditions stipulated in the above-mentioned articles.

All returns, exchange or refund requests must be preceded by a request on the site www.rodier.fr in the CONTACT section.

After obtaining the agreement of return, the CUSTOMER will return the items at their own risk in the original packaging, in perfect condition, unused, complete and with a copy of the purchasing invoice, or delivery form to the following postal address: Entrepôt RODIER – ZAC les Portes de l'Oise, 1 rue Isaac Newton – Porte 10 – 60230 CHAMBLY within thirty days from the delivery date of the products, date as per postmark.

In the event of the product being proven as non-compliant, the invoice payment and delivery fees for the returned items will be refunded by credit to the CUSTOMER'S bank account within a maximum of thirty days of RODIER having received the returned items.

10 - RESPONSABILITY

During the online sales process, RODIER will only be held by an obligation of means: they may not be held liable for damages arising from the use of the internet such as losses of data, intrusions viruses, disruptions of services or any other involuntary issues.

11 - INTELLECTUAL PROPERTY

All elements of the RODIER website are and will remain the intellectual and exclusive property of RODIER and are protected by copyright, trademark and patent.

Nobody is authorised to reproduce, exploit, rebroadcast or use for any reason whatsoever, even partially, the site elements whether software, visual or audio.

All links leading to the www.rodier.fr site are strictly forbidden without the express written consent of RODIER and must be removed upon the latter's first request.

12 - COOKIES

In accordance with the French Data Protection Act of 6 January 1978, data of a personal nature relating to purchasers will be treated through automated systems.

Purchasers may object the disclosure of their details by notifying RODIER. In the same way, users have the right to access and modify any data concerning them, in accordance with the act of 6 January 1978, either directly on the www.rodier.fr site in the CONTACT section, or by writing a letter to the RODIER SAS company Service Clients, 20 rue Bachaumont, 75002 PARIS, indicating their surname, forename, email address and, if possible, their customer reference numbers.

The automated data processing, including the management of site user email addresses, is subject to a declaration to the CNIL on 08 October 2008, registered under number 1322461.

When using the www.rodier.fr site, certain browsing data may be saved in files called "Cookies" and installed on the terminal being used (computer, smartphone, tablet, etc.).

The use of cookies aims to:

- memorise certain information that the user fills out in the RODIER forms, in order to simplify and personalise their future browsing;

- enable the user to have quicker access to their personal space by memorising credentials or data that they previously provided;

- collect statistics, particularly concerning the number of visits to the site and the number of times the diverse services offered by the www.rodier.fr site have been used (sections and contents visited, navigation path on the site), in order to boost the interest in and ergonomics of the offered services.

The different types of cookies used are as follows:

Session cookies: They allow statistics to be gathered regarding the number of visits to the site and the navigation path of the user on the site (statistics of rodier.fr site traffic, use of the browser, number of new visitors, orders made…). They have the objective of enabling RODIER to improve the user experience by understanding how they interact with the website.   The data stored by these cookies do not save any confidential information.

Remarketing cookies: They have the objective of providing information regarding the use of other partner sites by the rodier.fr site user.

Customer cookies: These allow RODIER to remember the user and simplify their browsing process. In doing so, the user stays connected to their customer account, their basket will be preserved and the newsletter subscription window will no longer pop-up if the user is already subscribed or if they have closed it.

Sharing cookies: These cookies are linked to the « sharing » feature of contents via social media - such as Twitter or Facebook. RODIER does not control the broadcasting of such cookies and recommends users to check the concerned sites for more information regarding their confidentiality policies.

Cookie management:

The internet browser settings (Internet ExplorerTM, FirefoxTM, SafariTM, Google ChromeTM, OpéraTM, etc.) is an efficient and free way of controlling, in advance, your cookie management. The user can thus decide:

- to accept the registration of all cookies integrated in the pages and contents that they are browsing.   On the one hand, it should be noted that cookies can only be read by their issuers. On the other hand, the process is not definitive, and it will always be possible to delete the cookies at a later date;

- to reject the registration of cookies on the browsing terminal. In this case, RODIER insists that the user will not be able to enjoy the same level of ease when browsing, as some features require the use of cookies. Personalisation of the service provided will not be possible. As a result, RODIER rejects all responsibility for any inconveniences linked to the possible malfunction of these services due to the impossibility of consulting the necessary cookies;

- be asked for permission by the browser to accept or reject a new cookie on their terminal each time one appears.

13 - ARCHIVING - PROOF

RODIER will archive all order forms and invoices on a reliable and permanent medium so as to constitute a reliable copy under the provisions of article 1348 of the French Civil Code.

RODIER'S digital records will be considered by all Parties as proof of communications, orders, payments and transactions between the Parties.

14 - DISPUTE RESOLUTIONS

The present conditions for online sales are subject to French law.

In the case of dispute, the power of jurisdiction is attributed to the appropriate Courts of Paris, notwithstanding the plurality of defendants or the introduction of third parties.
